Exclusivity Policy

Madhav Marketing (“Company”, “we”, “our”, “us”) operates on an Exclusivity Promise. This document explains how exclusivity works, what it covers, and why it matters for our clients.

1. Our Commitment

When you engage with Madhav Marketing, we guarantee:

  • We will not work with your direct competitor in the same category and locality.
  • Once exclusivity is confirmed, it is written into your contract.
  • Your strategies, playbooks, and data are protected from leakage.

2. Scope of Exclusivity

Exclusivity applies to:

  • Category: The industry vertical you operate in (e.g., coaching, hospitals, D2C, consulting, politics).
  • Geography: Your primary operating city/market (e.g., Lucknow coaching market, Indore healthcare market).
  • Duration: Exclusivity is valid for the term of our engagement. If you renew, exclusivity continues.

3. Conflict Check (Fit Check Stage)

Before onboarding any new client, we run a Fit Check that includes:

  • Disclosure of your top competitors.
  • Internal conflict-check against our existing client roster.
  • Formal confirmation of exclusivity before contract signing.

If a conflict is found, we will decline the engagement to honor our existing partner.

4. What Exclusivity Covers

  • Direct Competitors: We define this as businesses offering the same core service/product to the same customer base in the same market.
  • Local Rivalries: If two coaching institutes are in the same city, we will work with only one.
  • Sensitive Campaigns: In healthcare, education, and politics, exclusivity rules are even stricter.

5. What Exclusivity Does Not Cover

  • Different Categories: A hospital and a D2C brand in the same city are not competitors.
  • Different Markets: A coaching institute in Delhi and another in Jaipur can both work with us.
  • Expired Contracts: Once an engagement ends and non-compete obligations expire, exclusivity is lifted.

6. Client Responsibilities

To maintain exclusivity:

  • You must disclose your direct competitors during the Fit Check.
  • If your market scope expands (new city or category), you must inform us so exclusivity can be re-assessed.

7. Enforcement

  • Exclusivity is included in your Statement of Work (SoW) and contract.
  • Any breach of exclusivity by Madhav Marketing entitles the client to terminate the contract immediately.
  • Competitor conflicts are resolved on a first-come, first-served basis — whichever client signs first holds the exclusivity rights.

Exclusivity protects your growth. It ensures:

  • Your playbooks are never reused for rivals.
  • Competitors cannot poach your advantage.
  • Trust is built into every engagement.
